1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Soul Compass ("the App", "we", "us", or "our"). By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the App.

2. Eligibility

You must be at least 18 years old to use this App. By using the App, you represent and warrant that you are at least 18 years of age.

3. Description of Service

The App provides the following services:

  • AI-generated personalized reflection questions
  • Storage and management of reflection records
  • Streak (consecutive days) tracking
  • Background music and meditation features
  • Email communications with self-care insights
  • Other related services

4. Account Registration

  1. You must provide accurate and current information when registering an account.
  2. You are responsible for maintaining the confidentiality of your account credentials.
  3. You are responsible for all activities that occur under your account.
  4. You must notify us immediately of any unauthorized use of your account.
  5. We are not liable for damages arising from unauthorized use of your account.

5. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's servers or networks
  • Upload or transmit viruses or malicious code
  • Collect personal information of other users without consent
  • Impersonate any person or entity
  • Use automated systems to access the App without permission
  • Engage in any activity that could harm minors
  • Engage in any other activities we deem inappropriate

6. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may suspend or discontinue the App:

  • For scheduled or emergency maintenance
  • Due to technical issues or security concerns
  • Due to force majeure events (natural disasters, etc.)
  • At our discretion with reasonable notice when possible

We are not liable for any interruption or discontinuation of service.

7. Intellectual Property

All intellectual property rights in the App, including but not limited to software, design, text, graphics, and logos, belong to us or our licensors. You may not:

  • Copy, modify, or distribute any content without permission
  • Reverse engineer or decompile the App
  • Remove any copyright or proprietary notices
  • Use our trademarks without written consent

8. User Content

  1. You retain ownership of content you create using the App (such as reflection responses and journal entries).
  2. By using the App, you grant us a limited license to store and process your content to provide our services.
  3. We may use anonymized and aggregated data for service improvement and research.
  4. You are responsible for ensuring your content does not violate any laws or third-party rights.

9. Health and Wellness Disclaimer

IMPORTANT: Please read this section carefully.

  • The App is designed for general wellness and self-reflection purposes only.
  • The App is NOT a medical device, therapy service, or substitute for professional medical, psychological, or psychiatric treatment.
  • Content provided by the App, including AI-generated questions, should not be considered medical or therapeutic advice.
  • If you are experiencing mental health issues, please consult a qualified healthcare professional.
  • In case of emergency, please contact emergency services or a crisis helpline in your country.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness of content
  • Warranties that the App will be error-free or uninterrupted

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for any loss of data, profits, or business opportunities.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow limitations on liability, so some of the above may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Soul Compass, its operators, affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your user content

13. Termination

We may terminate or suspend your access to the App at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the App will immediately cease
  • You may request deletion of your data in accordance with our Privacy Policy
  • Provisions that should survive termination will remain in effect

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on this page with a new "Last Updated" date
  • Sending an email notification for significant changes
  • Displaying an in-app notification

Your continued use of the App after changes constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

For users outside the EU/EEA: These Terms are governed by Japanese law. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

For users in the EU/EEA: Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws in your country of residence. You may bring proceedings in the courts of your country of residence. For EU residents, the European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Soul Compass regarding your use of the App and supersede any prior agreements.
